Welcome to Global Successors. These Terms of Service ("Terms") govern your use of our website, AI integration platforms, cloud architecture services, and IT consultancy services. By accessing or utilizing our services, you agree to be bound by these Terms.

1. Service Scope and Agreements

Global Successors provides specialized IT solutions, including but not limited to:

• Custom Artificial Intelligence (AI) and Machine Learning (ML) model development.
• Cloud infrastructure migration, scaling, and security auditing (AWS, GCP, Azure).
• Proprietary software engineering and enterprise infrastructure modernization.

Specific project scopes, deliverables, timelines, and costs will be defined in a separate binding Statement of Work (SOW) or Master Services Agreement (MSA) signed by both parties.

2. Intellectual Property (IP) Rights

Unless explicitly stated otherwise in the MSA:

• Client IP: Any data, workflows, or proprietary information provided by the Client remains the sole property of the Client.
• Deliverables: Upon final payment, the intellectual property rights for custom-developed software or trained models are transferred to the Client.
• Global Successors IP: Core algorithms, underlying cloud deployment scripts, pre-existing libraries, and general knowledge used to build the deliverables remain the property of Global Successors. A perpetual, non-exclusive license is granted to the Client to use these underlying tools within the scope of the deliverable.

3. AI Usage and Limitations

When utilizing AI solutions developed or deployed by Global Successors:

• You acknowledge that AI models are probabilistic by nature and may occasionally generate inaccurate or "hallucinated" outputs. They are meant to complement, not entirely replace, human oversight in critical decision-making processes.
• You agree not to use our AI systems to generate illegal content, violate copyright laws, or deploy automated malicious attacks (e.g., automated phishing, malware generation).
• We explicitly prohibit reverse-engineering our proprietary backend systems or attempting to extract the underlying weights of proprietary models hosted on our infrastructure.

4. Service Availability and SLAs

For clients specifically subscribed to our Managed Hosting or SLA plans, uptime guarantees and support response times will be honored as outlined in your contract. Standard website access is provided "as is," and we do not guarantee uninterrupted access due to routine maintenance or unforeseen outages.

5. User Responsibilities

As a user of our site or services, you agree to:

• Provide accurate information when requesting assessments or inquiries.
• Maintain the confidentiality of any client portal credentials provided to you.
• Ensure that any data you provide to us for processing complies with local data protection laws (e.g., HIPAA, GDPR).

6. Limitation of Liability

To the maximum extent permitted by law, Global Successors, its directors, employees, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, or goodwill, arising from:

• Your access to or use of, or inability to access or use, the services.
• Any conduct or content of any third party using the services.
• Any errors or inaccuracies in data processed or generated by AI models.

In no event will our aggregate liability to you exceed the total amount paid by you to Global Successors in the twelve (12) months preceding the event giving rise to the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Global Successors from any claims, liabilities, damages, and expenses (including legal fees) arising out of your improper use of our services, violation of these Terms, or infringement of any third-party rights.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Global Successors is legally registered, without regard to its conflict of law provisions.

9. Revisions to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
